01 Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “You”, or “Your”) and SSR FINTECH DIGITAL INDIA E-SERVICES PRIVATE LIMITED, operating under the brand name PROEXUX (“PROEXUX”, “We”, “Us”, or “Our”), governing your access to and use of the PROEXUX website, applications, dashboard, and related services (the “Platform”).

By accessing, browsing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund & Cancellation Policy, and any other policies referenced herein.

02 Definitions

• “Account” means the user account created on the Platform.
• “Content” means text, images, videos, audio, links, files, and any other material uploaded, posted, or shared on the Platform.
• “Creator” / “Seller” means a User who offers products, services, courses, downloads, or other digital assets through the Platform.
• “Customer” / “End User” means a person who purchases or interacts with a Creator's offering through the Platform.
• “Plan” means a paid or free subscription tier or package offered by PROEXUX.
• “Services” means all features, tools, and functionality made available through the Platform.
• “Partner Program” means the PROEXUX referral and affiliate program.

03 Eligibility

• You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.
• If you are using the Platform on behalf of a company, partnership, LLP, or other legal entity, you represent that you have authority to bind that entity to these Terms.
• You must not be barred from using the Platform under any applicable law, or previously suspended or removed from the Platform by PROEXUX.
• You are responsible for ensuring that your use of the Platform complies with all applicable local, state, national, and international laws.

04 Account Registration & Security

• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your login credentials, including passwords, OTPs, and API keys.
• You are responsible for all activity that occurs under your Account, whether or not authorized by you.
• You must notify PROEXUX immediately at support@proexux.com if you suspect any unauthorized access or security breach.
• PROEXUX may require identity verification, KYC, or additional documentation where required by applicable law or for security reasons.

05 Permitted Use

Subject to your compliance with these Terms, PROEXUX grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for legitimate personal or business purposes.
• Create, publish, and manage pages, products, and digital offerings.
• Process payments for eligible products and services using the Platform's tools.
• Promote your offerings and manage your customers within the Platform.
• Use the tools, features, and integrations available on your Plan.

This license does not grant you any ownership rights in the Platform or its underlying technology.

06 Prohibited Activities

You agree not to use the Platform for any of the following:

• Violating any applicable law, regulation, or third-party right.
• Uploading or sharing content that is unlawful, defamatory, obscene, hateful, discriminatory, or infringing.
• Selling prohibited or restricted goods and services, including but not limited to counterfeit products, illegal drugs, weapons, or adult content where prohibited.
• Distributing malware, spyware, viruses, or any harmful code.
• Attempting to gain unauthorized access to the Platform, other accounts, or PROEXUX systems.
• Using bots, scrapers, or automated tools to extract data or overload the Platform.
• Impersonating any person or entity, or misrepresenting your affiliation.
• Engaging in fraudulent, deceptive, or misleading activities.
• Circumventing fees, limits, or restrictions imposed on your Plan.
• Reselling or sublicensing the Platform without written authorization.

07 Plans & Payments

7.1 Subscription Plans

• PROEXUX offers free and paid Plans as described on the Platform. Plan features may change with reasonable notice.
• Paid Plans are billed in advance on a recurring basis (monthly or yearly) unless stated otherwise.
• Subscriptions renew automatically unless cancelled before the renewal date.
• All fees are stated exclusive of applicable taxes unless otherwise specified.

7.2 Payment Processing

• Payments are processed through third-party payment gateways. By making a payment, you agree to the applicable gateway's terms.
• PROEXUX does not store complete card information unless specifically required and lawfully permitted.
• You are responsible for providing valid payment information and for any transaction fees charged by your bank or provider.

7.3 Failed Payments

• If a payment fails or is reversed, PROEXUX may suspend access to paid features until the issue is resolved.
• Repeated failed payments may result in downgrade to a free Plan or account suspension.

7.4 Refunds

Refunds and cancellations are governed by our Refund & Cancellation Policy.

08 Creator & Seller Terms

If you use PROEXUX as a Creator or Seller, the following additional terms apply:

• You are solely responsible for the products, services, and content you offer through the Platform.
• You must comply with all applicable laws regarding consumer protection, tax, invoicing, and refunds.
• You are responsible for delivering purchased items, providing customer support, and honouring any guarantees you advertise.
• PROEXUX may charge platform fees, transaction fees, or commissions as described on the Platform or in a separate agreement.
• PROEXUX may place holds on payouts where there is a suspected dispute, fraud, chargeback, or policy violation.
• You must not use the Platform to sell counterfeit goods, unauthorized digital content, or services that violate applicable law.
• You must disclose material facts about products or services to end customers.

09 Affiliate & Partner Program

• Participation in the PROEXUX Partner Program is subject to application, approval, and compliance with the applicable Partner Program terms.
• Commissions are earned only on eligible referrals and are subject to verification and the terms in force at the time of the referral.
• Self-referrals, fraudulent signups, incentivized misrepresentation, and use of unauthorized promotional methods are prohibited.
• PROEXUX may withhold, reverse, or reclaim commissions obtained through prohibited methods.
• Commission rates, payout thresholds, and timelines may be updated from time to time with notice.
• You must clearly disclose your affiliate or partner status when promoting PROEXUX where required by law.

10 Intellectual Property

10.1 PROEXUX IP

• The Platform, including its software, design, logos, trademarks, and content created by PROEXUX, is owned by or licensed to PROEXUX and protected by applicable intellectual property laws.
• You may not copy, modify, distribute, sell, or reverse-engineer any part of the Platform without prior written consent.

10.2 Your Content

• You retain ownership of content you upload to the Platform.
• By uploading content, you grant PROEXUX a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and process the content solely for the purpose of operating and improving the Platform.
• You represent and warrant that you have all necessary rights to the content you upload and that it does not infringe any third-party rights.

10.3 Copyright Complaints

If you believe your intellectual property rights have been violated, please contact us at support@proexux.com with the necessary details for us to investigate.

11 Third-Party Services

• The Platform may integrate with third-party products, services, and APIs, including payment gateways, communication tools, and analytics providers.
• Your use of any third-party service is subject to that provider's terms and privacy policies.
• PROEXUX is not responsible for the availability, accuracy, content, or practices of third-party services.
• Any integration downtime or failure may temporarily affect certain Platform features.

12 Privacy

Your privacy is important to us. Our collection, use, storage, and protection of your personal information is described in our Privacy Policy, which forms part of these Terms.

By using the Platform, you consent to the processing of information as described in the Privacy Policy.

13 Disclaimers

The Platform and all Services are provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, PROEXUX disclaims all warranties, whether express, implied, or statutory, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will be uninterrupted, error-free, or completely secure.
• Any warranty regarding the accuracy, reliability, or completeness of information on the Platform.

14 Limitation of Liability

To the maximum extent permitted by applicable law, PROEXUX, its directors, officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Business interruption or loss of goodwill.
• Any damages arising from third-party services, payments, or communications.
• Any unauthorized access to your Account or data.

To the extent permitted by law, the total aggregate liability of PROEXUX for any claim arising under these Terms shall not exceed the amount paid by you to PROEXUX in the twelve (12) months preceding the event giving rise to the claim.

15 Indemnification

You agree to indemnify, defend, and hold harmless PROEXUX, its directors, officers, employees, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform.
• Your violation of these Terms or applicable law.
• Your content or the products/services you offer through the Platform.
• Any claim by a third party relating to your content or your customers.

16 Suspension & Termination

16.1 Termination by You

• You may stop using the Platform at any time and may request account deletion through the available support channel.
• Cancellation of paid Plans is governed by our Refund & Cancellation Policy.

16.2 Termination by PROEXUX

• PROEXUX may suspend, restrict, or terminate your Account if you violate these Terms, applicable law, or our policies.
• We may also suspend or terminate access where required by law, regulatory order, or for security reasons.
• Where possible, we will provide notice before suspension or termination, except in urgent cases.

16.3 Effect of Termination

• Upon termination, your right to use the Platform ceases immediately.
• You remain responsible for obligations incurred before termination, including pending payments and disputes.
• Sections that by their nature should survive termination (including IP, liability, indemnity, and governing law) shall continue to apply.

17 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts at the registered office location of SSR FINTECH DIGITAL INDIA E-SERVICES PRIVATE LIMITED shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

Where required, disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as mutually agreed by the parties.

18 Changes to These Terms

PROEXUX may modify these Terms from time to time to reflect changes in our Services, technology, business practices, or legal requirements. Updated Terms will be published on the Platform with a revised “Last Updated” date.

Where changes are material, we may provide additional notice through the Platform or by email. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
